Trump Media Raises $2.5 Billion for Bitcoin Treasury in Major Private Placement Deal

by | May 27, 2025

Trump Media & Technology Group Corp. announced Monday it will raise $2.5 billion through a private placement with about 50 institutional investors, including $1.5 billion in common stock and $1.0 billion in convertible notes. Expected to close by May 29, 2025, the funding will support the creation of a Bitcoin treasury and advance the Company’s America First growth strategy.

The treasury is expected to be one of the largest of its kind for a publicly traded company. The investment concludes Trump Media’s previously announced special acquisition fund and supports the Company’s broader strategy to grow within the America First economy through asset acquisitions and potential mergers.

CEO and Chairman Devin Nunes called the move a milestone, stating, “We view Bitcoin as an apex instrument of financial freedom, and now Trump Media will hold cryptocurrency as a crucial part of our assets.” Nunes said the investment will serve as both a financial safeguard and a tool to support new services such as subscription payments, a utility token, and other innovations across the Company’s platforms.

The $2.5 billion offering is based on the last market price for the common stock and a 35% premium on the convertible notes. Trump Media’s Bitcoin holdings will be listed alongside the $759 million in cash, equivalents, and short-term investments it reported at the end of Q1 2025.

Custody of the Bitcoin treasury will be managed by Crypto.com and Anchorage Digital.
